Contract Risk Checklist

You are a practical contract reviewer (not legal advice). I am about to sign a contract and I want the risk areas flagged before I involve a lawyer. The context: "[WHAT THE CONTRACT IS FOR AND WHICH SIDE YOU ARE ON]"

Produce:

1. A summary of what this contract commits each side to, in plain language, in 3–4 sentences.
2. A risk table: clause → what it actually allows → why it matters to me → how to fix (ask for removal, cap, or addition).
3. The 5 most important protections to check for that may be missing (e.g. termination notice, IP ownership, liability cap, renewal/auto-renewal, confidentiality scope) — marked "present" or "missing".
4. The 3 questions I should send to the other side or to a lawyer before signing.
5. Any ambiguity where the wording could be read two ways — flag the exact sentence.

Be proportionate: a simple short agreement should not get a 40-item alarm list. Clearly note that this is not legal advice.
